Terms of Service

Last updated October 26, 2026

Draft: this document hasn't been reviewed by counsel yet and isn't in force. It describes how the service works today; the final version will replace it.

These terms are the agreement between you and Sukses360 Ltd for using Underpass. By creating an account or using the service, you agree to them.

1. The service

Underpass connects your devices into a private network (a "workspace") using WireGuard. It includes the dashboard, the coordination service that tells your devices how to find each other, the relay that carries traffic when devices can't connect directly, and the apps you install on your devices.

Traffic between your devices is encrypted end to end. The coordination service never carries it; the relay only passes along encrypted packets it can't read.

2. Accounts and workspaces

  • You need an account to use the service, and you must give accurate information when you create it.
  • You're responsible for what happens under your account and for keeping your sign-in, auth keys and API tokens secret.
  • The person who creates a workspace is its owner. Owners and admins decide who joins, which devices are approved, and the workspace's settings. If you use the service for an organization, you confirm you may accept these terms on its behalf.
  • You must be at least 16 years old, or the age of digital consent where you live, whichever is higher.

3. Using the service

You may use the service for any lawful purpose that follows our Acceptable Use Policy. You're responsible for the devices you connect, the traffic they send, and the access rules you set.

4. Your data

Your data stays yours. We use it only to run, secure and support the service, as described in our Privacy Policy. If you use the service for an organization, our Data Processing Addendum applies to the personal data we process for it.

5. Plans and payment

  • The Free plan is free, with the limits shown on our pricing page. Paid plans are a flat monthly price per workspace.
  • Until online checkout is available, paid plans are requested from the dashboard and invoiced. Invoices are due within the period stated on them. Prices exclude taxes, which you pay where they apply.
  • You can change or cancel a plan at any time. A downgrade takes effect at the end of the current period; we don't refund partial periods unless the law requires it.
  • If a workspace goes over its plan's limits, devices and people already in it keep working, but new ones can't be added until it's back within them.
  • We'll give at least 30 days' notice before changing the price of a plan you're on.

6. Availability and changes

We work to keep the service running, but we don't promise it will be uninterrupted or error-free. Paid plans are covered by our Service Level Agreement. We may change or improve the service; if we remove a feature you rely on in a paid plan, we'll tell you in advance.

Organizations that sign our Master Service Agreement are covered by it instead of these terms.

7. Software

We give you a personal, non-exclusive, non-transferable license to install and run our apps to use the service. Parts of the software are open source and come with their own licenses, which take precedence for those parts. WireGuard is a registered trademark of Jason A. Donenfeld.

8. Feedback

If you send us ideas or feedback, we may use them without owing you anything.

9. Ending the agreement

  • You can stop using the service at any time, and delete your account yourself from your account settings in the dashboard. That removes the workspaces you own, with their devices, keys, tokens and log destinations, once nobody else is in them. If you can't, write to support@getunderpass.com and we'll do it within 30 days.
  • We may suspend or close an account that breaks these terms or the Acceptable Use Policy, or to protect the service or others. Where we reasonably can, we'll warn you first and give you a chance to fix the problem.
  • After a workspace is deleted, we delete its data as described in the Privacy Policy. Sections that by their nature should last (payment owed, liability, disputes) survive.

10. Disclaimer

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us for the service in the 12 months before the claim, or $100 if you're on the Free plan. Nothing here limits liability that can't be limited by law.

12. Indemnity

You'll defend us against third-party claims arising from your use of the service in breach of these terms or the law, and cover the resulting costs.

13. Governing law

These terms are governed by the laws of [State or country], without regard to its conflict-of-law rules. Disputes are heard in the courts of [City, State or country], unless the law where you live gives you the right to bring them there.

14. Changes to these terms

We may update these terms. For material changes we'll notify workspace owners by email or in the dashboard at least 30 days before they take effect. Continuing to use the service after that means you accept them.
